Adani Ports and Special Economic Zone (APSEZ) on Tuesday said it has completed the acquisition of Australia's North Queensland Export Terminal (NOXT) after receiving all required regulatory and shareholder approvals.

The approvals included consent from the 'majority of minority' shareholders, the Reserve Bank of India and Australia's Foreign Investment Review Board. As part of the transaction, APSEZ allotted equity shares with a face value of 12 each to the seller, Carmichael Rail and Port Singapore Holdings, on a preferential basis.

Closure of NOXT's acquisition is a significant milestone in APSEZ's growth trajectory towards 1 billion metric tonne cargo by 2030. NQXT will enhance our presence along the east-west trade corridor along with our other international ports in Israel, Colombo and Tanzania," said Ashwani Gupta, whole-time director and chief executive officer of APSEZ.

NOXT is a deep-water, multi-user export terminal located at the Port of Abbot Point in North Queensland. The terminal primarily serves mining companies operating in Queensland's Bowen and Galilee basins.

Following the acquisition, APSEZ revised its pro forma outlook for FY26. The company now expects EBITDA to be in the range of 122,350 crore to 23,350 crore, compared with its earlier guidance of Rs 21,000 crore to 22,000 crore. Cargo volumes are estimated at 545-555 million metric tonnes, up from the earlier projection of 505-515 million metric tonnes.

APSEZ said that the addition of NQXT strengthens its international portfolio and supports its long-term target of handling one billion tonnes of cargo by 2030.
